1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Sonic Haven Studios, located at 200 Bathurst Street, Toronto, ON M5T 2R6, Canada. By using our services, including but not limited to studio recording, audio editing, podcast distribution, cover art design, and podcast consulting, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. User Responsibilities
As a user of Sonic Haven Studios' services, you agree to the following:
- You are responsible for providing accurate and complete information when registering for our services or booking studio time.
- You will use our services in a lawful and respectful manner, and you will not engage in any activity that is harmful, offensive, or disruptive to our staff or other users.
- You are responsible for obtaining any necessary licenses or permissions for the content you create using our services, including but not limited to music, sound effects, and other copyrighted materials.
- You will comply with all applicable laws and regulations, including those related to intellectual property, privacy, and data protection.
- You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3. Intellectual Property
Sonic Haven Studios retains all rights, title, and interest in and to our services, including all software, technology, and content made available through our platform. You acknowledge that our services are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of the content you create using our services ("User Content"). However, by using our services, you grant Sonic Haven Studios a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your User Content for the purpose of providing our services. This includes, but is not limited to, showcasing your podcast on our website and social media channels. If you do not wish us to showcase your podcast, please notify us by email at [email protected].
You warrant that you have all necessary rights and permissions to grant the license described above and that your User Content does not infringe upon the intellectual property rights of any third party.
4. Payment and Fees
Fees for our services are outlined on our website and are subject to change without notice. You agree to pay all fees associated with your use of our services in a timely manner.
We accept payments via credit card, debit card, and other electronic payment methods. All payments are processed securely through our payment gateway provider.
If you cancel a booking within 24 hours of the scheduled time, you may be subject to a cancellation fee equal to 50% of the booking cost. Cancellations made with more than 24 hours' notice will not incur a fee.
5. Limitations of Liability
To the fullest extent permitted by law, Sonic Haven Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services, including but not limited to lost profits, lost data, or business interruption.
Our liability for any direct damages shall be limited to the amount you paid to us for the specific services giving rise to the claim. We are not responsible for any damages caused by third-party services or products that you use in conjunction with our services.
Sonic Haven Studios is not responsible for the content of any podcasts recorded or produced at our studio. The views and opinions expressed in those podcasts are solely those of the creators.
6. Termination
We may terminate your access to our services at any time, with or without cause, if we believe that you have violated these Terms or engaged in any activity that is harmful to our business or other users.
You may terminate your use of our services at any time by ceasing to use our website and contacting us to close your account, if applicable. Please email us at [email protected].
Upon termination, you will no longer have access to your account or any User Content stored on our servers. We reserve the right to delete any User Content upon termination, although we may, at our discretion, provide you with a reasonable opportunity to download your User Content before deletion.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Toronto, Ontario.
8. Changes to Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically for any updates or modifications.
We will endeavor to notify you of any material changes to these Terms by email or through a prominent notice on our website.
9. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.
We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of any information or content available through our services.
10. Indemnification
You agree to indemnify and hold harmless Sonic Haven Studios, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of our services, your User Content, or your violation of these Terms.
